Legal Watch: Hotel Franchise Agreements Are Evolving

A recent article from CoStar.com highlights a growing shift in the hotel industry as more owners move from brand-managed hotels to the franchise model. According to CoStar News, this change is giving hotel owners more control, but it is also increasing pressure around franchise agreement terms, fees, disclosures, and non-compete provisions.

At the Hospitality Law Conference, Jennifer Nellany of Cozen O’Connor noted that hotel brands are leaning into the franchise model because it supports an asset-light structure and reduces the operational responsibilities that come with brand-managed properties. However, as the franchisee base grows, owners are pushing back more aggressively on fee structures, pricing transparency, and restrictive contract terms.

The article also points to the importance of experienced asset managers and legal counsel when reviewing franchise agreements, especially as fees may be spread across multiple agreements or service categories. Nellany also highlighted advocacy efforts from the Asian American Hotel Owners Association and noted that new state-level franchise laws, such as Virginia’s retail franchising act, may signal broader changes ahead.
